  • Financial Information: When you fund your wallet or receive payouts, we collect payment method details (processed securely by Stripe, our third-party payment processor), bank account information for payouts, and transaction history.
  • Content: Any content you create, upload, or share on the Service, including posts, images, videos, audio files, comments, and messages.
  • Communications: When you contact us for support or otherwise communicate with us, we collect the content of those communications.
  • Event Information: If you create or attend events through the Service, we collect event details, ticket purchase information, and attendance data.

1.2 Information Collected Automatically

  • Device Information: Device type, operating system and version, unique device identifiers, mobile network information, and browser type.
  • Usage Data: Pages and screens viewed, time spent on pages, navigation paths, features used, search queries, and interaction patterns.
  • Location Data: General location information derived from your IP address. We do not collect precise GPS location.
  • Log Data: IP address, access times, referring URLs, and crash reports.

1.3 Blockchain Data

When you engage in token transactions on the Service, certain information is recorded on the Base blockchain (an Ethereum Layer 2 network). Blockchain transactions are public, permanent, and immutable by their nature. This includes wallet addresses, transaction amounts, token IDs, and timestamps. We cannot delete, modify, or control information once it is recorded on the blockchain.

2. How We Use Your Information

We use the information we collect for the following purposes:

  • Providing the Service: To create and manage your account, process transactions, facilitate token trading, enable messaging between users, and deliver content.
  • Safety and Security: To verify identity, prevent fraud, enforce our Terms of Service, and protect the safety and security of our users and platform.
  • Communications: To send transactional emails (account verification, password resets, transaction confirmations), push notifications you have opted into, and important service announcements.
  • Analytics and Improvement: To understand how users interact with the Service, identify areas for improvement, diagnose technical issues, and develop new features.
  • Legal Compliance: To comply with applicable laws, regulations, legal processes, and enforceable governmental requests, including anti-money laundering (AML) and know-your-customer (KYC) requirements.

    • Stripe (stripe.com) — Payment processing and creator payouts. Stripe processes your payment information directly under their own privacy policy.
    • Firebase / Google Cloud — Push notification delivery and crash reporting.
    • Cloudflare — Content delivery and media file storage (R2).
    • PostHog — Product analytics (anonymized usage data).
    • Resend — Transactional email delivery.
    • Sentry — Error tracking and performance monitoring.
  • Public Profile Information: Your username, display name, profile photo, bio, and public posts are visible to other users of the Service and may be visible to the public.
  • Blockchain: Token transactions are recorded on the public Base blockchain. Wallet addresses and transaction data are publicly visible and cannot be deleted.
  • Legal Requirements: We may disclose your information if required by law, subpoena, court order, or governmental regulation, or if we believe disclosure is necessary to protect our rights, protect your safety or the safety of others, investigate fraud, or respond to a government request.
  • Business Transfers: In the event of a merger, acquisition, reorganization, or sale of assets, your information may be transferred as part of that transaction.

4. Data Retention

We retain your personal information for as long as your account is active or as needed to provide you the Service. We retain certain information after account deletion for the following purposes:

  • Compliance with legal obligations (e.g., tax records, financial regulations) — up to 7 years
  • Fraud prevention and safety — up to 3 years
  • Dispute resolution — until the matter is resolved

Blockchain data is permanent and cannot be deleted due to the immutable nature of distributed ledger technology.

These Terms of Service ("Terms") govern your access to and use of the ace.fan mobile application and website (the "Service") operated by Artist Crowdfund Exchange Inc. ("ACE," "we," "us," or "our"). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 17, you must have the consent of a parent or legal guardian. By using the Service, you represent and warrant that you meet these eligibility requirements. To engage in financial transactions (purchasing tokens, receiving payouts), you must be at least 18 years old and provide valid identity verification as required by applicable law.

2. Description of Service

ACE is a platform that connects creators and fans through a blockchain-enabled social and financial ecosystem. The Service includes:

  • Creator Profiles: Creators can establish profiles, share content, and build a community of fans.
  • Fan Engagement: Fans can follow creators, access exclusive content, and support creators they believe in.
  • Token Marketplace: Creators issue tokens (digital assets on the Base blockchain) that fans can purchase, hold, and trade. Token ownership may grant access to exclusive content and perks as determined by each creator.
  • Events: Creators can create, promote, and sell tickets to physical and virtual events.
  • Messaging: Users can communicate through in-app messaging.
  • Wallet: Users maintain a digital wallet for funding transactions and receiving payouts.

3. Account Registration and Security

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must immediately notify us of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
  • One person may only maintain one account. Creating multiple accounts is prohibited.

4. User Content

4.1 Your Content

You retain ownership of the content you create and upload to the Service ("User Content"). By posting User Content, you grant ACE a non-exclusive, worldwide, royalty-free, transferable license to use, display, reproduce, distribute, and modify your User Content solely for the purpose of operating and providing the Service.

4.2 Content Standards

You agree that your User Content will not:

  • Violate any applicable law or regulation
  • Infringe any third party's intellectual property, privacy, or other rights
  • Contain material that is defamatory, obscene, hateful, threatening, or harassing
  • Contain sexually explicit material involving minors
  • Promote violence, terrorism, or illegal activities
  • Contain malware, viruses, or other harmful code
  • Be deceptive, fraudulent, or misleading

We reserve the right to remove any User Content that violates these standards at our sole discretion.

4.3 Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by ACE and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

5. Token Transactions and Financial Terms

5.1 Token Nature

Tokens on ACE are digital assets represented as ERC-1155 tokens on the Base blockchain. Tokens are not securities, shares, equity, debt instruments, or investments. Tokens may grant access to exclusive content and perks as determined by each creator but do not confer any ownership interest in ACE or in any creator's business or intellectual property.

5.2 Purchasing Tokens

  • All token purchases are facilitated through the Service using your ACE wallet balance.
  • Token prices are set by creators or determined by marketplace dynamics.
  • All purchases are final. Due to the nature of blockchain transactions, completed token purchases cannot be reversed.

5.3 Selling and Trading Tokens

  • You may list tokens for sale on the marketplace at a price you set.
  • ACE may charge transaction fees on marketplace trades. Current fee structures are displayed at the time of transaction.
  • Blockchain transactions may require gas fees, which are paid separately and are not controlled by ACE.

5.4 Wallet and Payouts

  • You can fund your ACE wallet using supported payment methods processed by Stripe.
  • Creators can withdraw earnings to their connected bank account via Stripe Connect.
  • Minimum withdrawal thresholds and processing times may apply.
  • You are solely responsible for reporting and paying any taxes owed on your transactions.

5.5 Blockchain Irreversibility

Blockchain transactions are irreversible once confirmed on the network. ACE cannot reverse, cancel, or modify any blockchain transaction. You acknowledge that you are solely responsible for verifying the details of any transaction before confirming it.

6. Creator Obligations

If you register as a creator on the Service, you additionally agree to:

  • Provide accurate identity verification information as required
  • Comply with all applicable laws regarding your content and token offerings
  • Not make false or misleading claims about the benefits, value, or future performance of your tokens
  • Make good-faith efforts to deliver on any perks or benefits you associate with your tokens
  • Complete Stripe Connect onboarding to receive payouts
  • Comply with Stripe's terms of service in addition to these Terms

7. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Manipulate token prices through wash trading, coordinated trading, or other deceptive practices
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Impersonate another person or entity
  • Use bots, scrapers, or automated tools to access the Service without our permission
  • Interfere with or disrupt the Service or servers connected to the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Circumvent any content-filtering, access control, or security measures
  • Collect or harvest personal information of other users
  • Use the Service to send unsolicited commercial communications (spam)
  • Create multiple accounts or use the Service after your account has been terminated

8. Fees and Payments

  • Creating an account on ACE is free.
  • ACE may charge fees on certain transactions, including token purchases, marketplace trades, and creator payouts. Fee amounts are disclosed at the time of each transaction.
  • Payment processing is handled by Stripe. By making payments through the Service, you also agree to Stripe's terms of service and privacy policy.
  • All fees are stated in US Dollars unless otherwise specified.
  • We reserve the right to modify our fee structure with reasonable advance notice to users.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Service will be accurate or reliable
  • Any tokens will maintain or increase in value
  • The blockchain network will function without interruption or error

ACE is not a financial advisor, broker-dealer, or investment advisor. Nothing on the Service constitutes financial, investment, legal, or tax advice. You should consult qualified professionals before making any financial decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

  • Your use of or inability to use the Service
  • Any unauthorized access to or alteration of your data
  • Loss of tokens or cryptocurrency due to user error, blockchain issues, or smart contract vulnerabilities
  • Fluctuation in value of any tokens
  • Actions or content of other users
  • Any third-party conduct on or connected to the Service

In no event shall ACE's total aggregate liability exceed the greater of (a) the amount you paid to ACE in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless ACE and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any law or regulation; or (e) your violation of any third party's rights.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal dispute, you agree to attempt to resolve the dispute informally by contacting us at contact@ace.fan. We will attempt to resolve the dispute within 30 days of receiving your notice.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Alameda County, California, unless the parties agree otherwise. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

  • You may terminate your account at any time by contacting us at contact@ace.fan.
  • We may suspend or terminate your account at any time, with or without cause, with or without notice, including if we believe you have violated these Terms.
  • Upon termination, your right to use the Service will immediately cease.
  • Tokens you hold on the blockchain will remain in your blockchain wallet regardless of account termination, but you will lose access to Service features.
  • Any accrued obligations (including payment of fees owed) and provisions that by their nature should survive termination will survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also provide notice through the Service or via email. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Alameda County, California.

16. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ACE regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
  • Force Majeure: ACE shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, wars, pandemics, government actions, or disruptions to the blockchain network.

Nature of Tokens

Tokens issued and traded on the ACE platform are utility tokens that may provide access to exclusive content, perks, and experiences as determined by individual creators. Tokens are not securities, equities, debt instruments, derivatives, or investment contracts. ACE does not offer, sell, or facilitate the sale of securities.

Not Investment Advice

Nothing on the Service constitutes investment advice, financial advice, trading advice, or any other sort of advice. ACE does not recommend that any token should be bought, sold, or held by you. You should conduct your own due diligence and consult a qualified financial advisor before making any financial decisions.

Risk Disclosure

Purchasing and holding digital tokens involves significant risk, including but not limited to:

  • Market Risk: The value of tokens may fluctuate significantly. Tokens may lose some or all of their value.
  • Technology Risk: The blockchain, smart contracts, and related technologies are relatively new and may contain vulnerabilities or errors.
  • Regulatory Risk: Changes in laws and regulations may adversely affect the use, transfer, or value of tokens.
  • Liquidity Risk: There may not be sufficient marketplace activity to sell your tokens at your desired price or at all.

ACE is committed to complying with applicable AML and KYC requirements. We may require users to verify their identity before engaging in certain transactions. We reserve the right to refuse service, suspend accounts, or report suspicious activity to relevant authorities as required by law.

Tax Obligations

Users are solely responsible for determining what, if any, taxes apply to their token transactions. ACE does not provide tax advice and is not responsible for determining the tax implications of your transactions. Consult a qualified tax professional regarding your specific circumstances.
